    The role of the Contract Risk Manager is to define, identify and manage the risk review activities performed during the negotiation, execution and termination of Third Party contracts for Texas Capital Bank.  The position will work closely with TCB business teams and subject matter experts, Legal, Procurement and Third Parties to ensure contracts contain appropriate language to meet regulatory, federal, state and TCB requirements.  The position must have superior knowledge of regulatory requirements and contractual terms to ensure the final contract allows TCB to adhere to those requirements. 


    The position will also serve to assist other key functions in the department (e.g., due diligence, onsite reviews, scorecards, etc.) as needed and therefore must have strong technical knowledge in these areas as well.

    • Contract Risk Assessments and Management.   Assist to define and manage the processes related to risk activities associated with executing contracts of varying value, risk and complexity.   This includes the risk reviews performed on new third party contracts as well as those done with legacy relationships to ensure they continue to meet requirements.  Requires the ability to define the regulatory and legal requirements for services and ensure they are appropriately addressed within contracts and service level details.  Will work as the liaison between the Business Unit, the third party and internal subject matter expert teams (i.e., Compliance, Legal, Risk, IT, Business Continuity, Privacy, etc.) to execute contract documents that meet business needs and according to Texas Capital requirements.
    • Due Diligence Document Review. Must maintain a strong technical knowledge of basic legal and regulatory requirements necessary to adequately review and interpret third party certification documents and determine if they meet regulatory, federal, state and Texas Capital requirements.  These will vary by third party and service but may include such documents as third party’s SSAE18 SOC 1 Report, Information Security Policy and practices, Business Continuity/Disaster Recovery Plans, required licensing, required insurance, and any other required document.
    • Due Diligence Risk Assessments. Will work with current and prospective third party providers to assess their control structure compared to TCB and legal/regulatory standards/requirements and make an assessment of the residual risk each brings to our company.  The end result is a risk score and recommendation to senior management about whether to move forward with the relationship or not.  This requires various tasks to perform checks on the third party including document reviews, industry and regulatory database reviews, interviews with the business sponsors and third parties, etc. The result will largely impact how (or if) a contractual relationship with a third party should still be pursued and/or continued.
    • Compliance Assessment and Management.  Requires the evaluation of the negotiated contract terms associated with working with a third party or service and ensuring that they meet regulatory, legal and investor legal and compliance requirements.  
    • High Complexity Initiatives. Manages the more complex and significant contract negotiations that may result in lengthy execution timelines and/or financial, regulatory or legal risks to Texas Capital.
    • Project Management.  Develop and manage various projects related to the third party management activities.   This could be as a project lead or supportive role to an existing project or contract negotiation.
    • Perform others duties as assigned.


    • Bachelor's degree required.
    • Minimum 7 years experience in a financial services firm, third party risk management or other similar experience.  Minimum 5 years of third party contract review and/or negotiation experience.
    • Solid knowledge of the regulatory and legal requirements for third party relationships.
    • Solid negotiation skills and experience working with facilitating contract edits through the Legal and Business review process.
    • Ability to multi-task in a high activity and fast-paced environment.
    • Strong attention to detail and exceptional organizational skills.
    • Strong communication skills (written and oral).
    • Ability to build effective internal and external relationships and operate effectively within diverse and cross-functional groups.
    • Demonstrated success in leading project teams within a multi-project environment.
    • Working knowledge of Microsoft Excel, Word and other similar applications.
